These Terms and Conditions set out the terms under which Altishift provides cloud migration services to customers. Please read them carefully before engaging our services.

Agreement and Parties

These Terms and Conditions ("Terms") set out the terms under which Altishift.io ("Altishift", "we", "us") provides migration services to the customer. The customer and Altishift together are referred to as the "Parties".

Customer

The organization or individual engaging Altishift for migration services.

Services

Altishift provides cloud migration services consisting of assessment, export of images, conversion, import, deployment, and validation as described in our service documentation. The standard migration process is a structured lift and shift workflow.

Customer Responsibilities

The customer agrees to fulfill the following responsibilities before and during the migration engagement.

Provide accurate contact details, environment inventories, and necessary credentials or access required to perform the migration.

Maintain backups of all data and systems prior to migration. Altishift does not accept responsibility for primary backups that the customer fails to maintain.

Approve proposed changes, maintenance windows, and cutover plans in writing before work commences.

Ensure that the use of services complies with all applicable laws and third-party licenses.

Important: Altishift strongly recommends maintaining full backups of all data and systems before migration begins. Altishift is not liable for data loss resulting from the customer's failure to maintain backups.

Access, Credentials and Security

The customer grants Altishift limited and temporary access necessary to perform the migration services. This access is strictly governed by our security model.

Access is used exclusively for migration tasks and for no other purpose.

Access is revoked immediately upon migration completion, unless the customer instructs otherwise.

No infrastructure changes are made without prior written customer approval.

Scheduling, Downtime and Estimates

Migration durations are estimates only. Typical timeframes depend on disk size, network bandwidth, and application complexity. See our documentation for estimated migration times per environment size.

Downtime may be required during the migration process. Altishift will plan to minimize service interruption but cannot guarantee zero downtime.

Fees and Payment

Statement of Work

Fees are agreed upon in the Statement of Work or order form prior to the commencement of services.

Payment Terms

Payment terms will be specified in the invoice or service agreement. All fees are due according to the agreed schedule.

Late Payment

Late payments may incur interest charges or result in suspension of services until payment is received.

Data Handling and Confidentiality

Altishift treats all customer data as strictly confidential and maintains appropriate security measures throughout the migration engagement.

Customer data is accessed only as required to perform the migration or as required by applicable law.

Reasonable security measures are employed at all stages of the migration process.

Disclosure to subcontractors is limited and only permitted to parties bound by confidentiality obligations equivalent to those in these Terms.

Intellectual Property

Customer Retains

Ownership of all customer data and any pre-existing intellectual property. Migration does not transfer ownership of customer assets.

Altishift Retains

Ownership of its tools, scripts, methodologies, and processes used to perform the work, provided no customer confidential data is embedded in them.

Warranties and Disclaimers

Our Warranty

Altishift warrants that it will perform migration services using reasonable skill and care in accordance with professional standards.

Disclaimer

Except as expressly stated above, services are provided "as is". Altishift makes no other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.

Limitation of Liability

Except for liability arising from willful misconduct or gross negligence, the following liability limits apply:

Aggregate Liability Cap

Altishift's aggregate liability for all claims related to the services will not exceed the total fees paid by the customer for the specific migration project.

Excluded Loss Types

Altishift is not liable for indirect, special, or consequential losses, including loss of profit, revenue, data, or business opportunity.

Indemnification

The customer agrees to indemnify and hold harmless Altishift from and against any claims, damages, and expenses arising from:

The customer's misuse of services or breach of these Terms.

Third-party claims arising from intellectual property infringement related to customer data or systems.

Claims arising from data issues or breaches of representation by the customer.

Termination

Either party may terminate the Statement of Work for material breach if the breaching party fails to remedy the breach within the specified cure period.

Termination Grounds

Material breach by either party that is not cured within the agreed notice period.

On Termination

Altishift will return or securely delete migration artifacts according to the agreed retention policy.

Governing Law and Dispute Resolution

These Terms are governed by the laws of [insert jurisdiction]. In the event of a dispute, the following resolution process applies:

Good Faith Negotiation

Parties first attempt to resolve the dispute through good faith discussion and negotiation.

Court Resolution

If not resolved through negotiation, disputes are submitted to the courts of the chosen jurisdiction.
